Home Service Pass — Provider Terms & Conditions

Please read these terms carefully before submitting your application.

1. Provider Partnership Agreement

By submitting a provider application through the Home Service Pass ("HSP") platform, you ("Provider") agree to enter into a non-exclusive partnership with Home Service Pass, LLC. This agreement governs your participation as a service provider on the HSP platform, including how you receive job requests, deliver services, and receive payments.

2. Eligibility & Business Requirements

To be eligible for the HSP provider network, you must:

  • Operate a legally registered and licensed business in the state(s) where you provide services.
  • Maintain current and valid general liability insurance with coverage of at least $1,000,000 per occurrence.
  • Hold all required trade-specific licenses, certifications, and permits (e.g., contractor's license, pest control certification).
  • Employ or contract with qualified personnel who meet all applicable background check and safety requirements.
  • Provide accurate and truthful information during the application and onboarding process.

HSP reserves the right to verify any information submitted and to deny or revoke access at its sole discretion if any information is found to be false, misleading, or incomplete.

3. Service Standards & Quality

As an HSP provider, you agree to:

  • Perform all services in a professional, timely, and workmanlike manner consistent with industry best practices.
  • Communicate promptly and courteously with HSP members regarding scheduling, service details, and any changes.
  • Arrive at scheduled appointments on time and complete all work as described in the booking.
  • Maintain a minimum customer satisfaction rating of 4.0 out of 5.0 stars on the HSP platform.
  • Respond to booking requests within 24 hours and resolve customer complaints within 48 hours.

Failure to meet these standards may result in warnings, temporary suspension, or permanent removal from the HSP provider network.

4. Fees, Payments & Financial Terms

There are no upfront fees, monthly subscriptions, or advertising charges to join the HSP provider network. Providers are compensated as follows:

  • Service Fee: HSP retains a service fee (percentage of the total job cost) for each completed booking. The exact fee percentage will be disclosed during onboarding and may vary by service category.
  • Payment Processing: Payments are processed through Stripe. Providers must maintain a valid Stripe-connected account in good standing. Payouts are issued after service completion and customer confirmation.
  • Quoting: Providers set their own pricing. HSP does not dictate rates but may provide pricing guidance to remain competitive within the market.
  • Taxes: Providers are independent contractors and are solely responsible for reporting and paying all applicable federal, state, and local taxes. HSP will issue a 1099 form for applicable earnings.

5. Booking, Cancellation & Rescheduling

  • Accepting Bookings: You are not obligated to accept every booking request, but repeated declines or no-shows may affect your visibility and standing on the platform.
  • Provider Cancellation: If you must cancel a confirmed booking, notify the customer and HSP at least 24 hours before the scheduled time. Excessive cancellations (more than 3 in a 30-day period) may result in account suspension.
  • Customer Cancellation: If a customer cancels within 24 hours of the scheduled service, you may be eligible for a cancellation fee as outlined in the HSP cancellation policy.
  • Rescheduling: Both providers and customers may reschedule without penalty if done more than 24 hours before the appointment. Rescheduling within 24 hours is subject to the cancellation policy.

6. Independent Contractor Relationship

Providers are independent contractors and not employees, agents, or franchisees of Home Service Pass, LLC. Nothing in this agreement creates an employer-employee relationship, partnership, or joint venture. As an independent contractor, you:

  • Control the manner and means by which you perform services.
  • Are responsible for your own equipment, tools, supplies, and transportation.
  • May hire employees or subcontractors at your discretion, provided they meet HSP quality and insurance requirements.
  • Are not entitled to employee benefits including health insurance, retirement plans, or workers' compensation from HSP.

7. Insurance & Liability

  • Providers must maintain general liability insurance throughout the duration of their participation in the HSP network.
  • Providers are solely liable for any injuries, damages, or losses arising from the services they perform.
  • Providers agree to indemnify and hold harmless Home Service Pass, LLC, its officers, employees, and agents from any claims, damages, or expenses arising from services provided.
  • HSP carries its own platform liability insurance but this does not extend to cover provider negligence or misconduct.

8. Confidentiality & Non-Solicitation

  • Providers must keep confidential all non-public information obtained through the HSP platform, including customer contact details, pricing data, and internal platform information.
  • Providers shall not directly solicit HSP members to bypass the platform for a period of 12 months after last providing services through HSP.
  • Customer data accessed through the platform remains the property of HSP and may only be used for the purpose of fulfilling HSP bookings.

9. Account Suspension & Termination

HSP may suspend or terminate a provider's account for:

  • Violation of any term in this agreement.
  • Consistent poor customer ratings (below 3.5 average over any 30-day period).
  • Fraudulent activity, misrepresentation, or unsafe practices.
  • Failure to maintain required insurance or licensing.
  • Extended inactivity (no completed bookings for 90+ consecutive days without notice).

Either party may terminate this agreement at any time with 30 days' written notice. Upon termination, any pending bookings must be honored or properly transferred. Outstanding payments will be processed within 30 days of termination.

10. Dispute Resolution

Any disputes arising from this agreement shall first be addressed through HSP's internal dispute resolution process. If unresolved, disputes will be submitted to binding arbitration in Utah County, Utah, under the rules of the American Arbitration Association. Each party bears its own legal costs unless otherwise awarded by the arbitrator.

11. Modifications to Terms

HSP reserves the right to modify these terms at any time. Providers will be notified of material changes via email at least 14 days in advance. Continued use of the platform after changes take effect constitutes acceptance of the revised terms. If you do not agree to the updated terms, you must discontinue use of the platform and notify HSP in writing.

12. Governing Law

This agreement is governed by the laws of the State of Utah. By submitting your application, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
